Affiliate Terms & Conditions

1. Introduction and Acceptance

These Affiliate Terms & Conditions ("Agreement") constitute a legally binding agreement between you ("Affiliate," "you," or "your") and Techtag GmbH, a limited liability company incorporated and domiciled in Switzerland ("Company," "we," "us," or "our"), regarding your participation in the PropTerminal Affiliate Program.

The PropTerminal Affiliate Program allows qualified individuals and entities to earn commissions by referring new customers to PropTerminal, our professional trading platform accessible at propterminal.io and propterminal.co.

By applying to, participating in, or continuing to participate in the PropTerminal Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by these terms and our general Terms of Service and Privacy Policy.

2. Affiliate Program Overview

2.1 Program Description

The PropTerminal Affiliate Program enables affiliates to earn recurring commissions by referring qualified customers who subscribe to our trading platform services.

2.2 Eligible Services

Commissions are earned on referrals for:

Pro Plan subscriptions: Professional trading tools with VPS access
Elite Plan subscriptions: Full feature access and premium VPS resources
Trial conversions: When referred users convert from trial to paid subscription

2.3 Target Audience

Our service is designed for professional traders, prop trading firms, and individual traders seeking advanced trading infrastructure and VPS hosting solutions.

3. Commission Structure

3.1 Commission Rate

Standard Rate: 10% recurring commission on all subscription fees
Payment Frequency: Monthly, for as long as the referred customer maintains an active subscription
Trial Conversions: Commissions begin when trial users convert to paid subscriptions

3.2 Commission Calculation

Commissions are calculated based on the gross subscription fee paid by the referred customer
When promo codes include discounts, commissions are calculated on the actual amount paid
Applicable taxes, refunds, and chargebacks are deducted from commission calculations
Custom commission rates may be negotiated for:
- High-volume affiliates
- Specific promotional campaigns
- Different tracking methods (links vs. codes)
- Special partnership arrangements

3.3 Payment Terms

Minimum Payout: CHF 100 (Swiss Francs) accumulated commission balance
Payment Schedule: Monthly payments processed by the 15th of each month
Payment Methods: Bank transfer, PayPal, or other approved methods
Payment Currency: CHF (Swiss Francs) or USD, as mutually agreed

3.4 Commission Duration

Recurring commissions continue for the lifetime of the referred customer's active subscription
Commissions cease when the referred customer cancels or fails to renew their subscription
Dormant affiliate accounts (no activity for 12 months) may have recurring commissions terminated

3.5 Refunds and Commission Adjustments

Commissions are subject to adjustment for refunds, chargebacks, and cancellations
If refunds occur after commission payment, PropTerminal may:
- Deduct from future commission payments
- Request repayment of affected commissions
- Create a negative balance until offset by future earnings
Refund adjustment period: Up to 120 days from original transaction
Partial refunds result in proportional commission adjustments
Excessive refund rates (above 15%) may result in account review or termination
Failed payment recovery attempts do not generate new commissions

4. Affiliate Obligations and Standards

4.1 Account Information

Maintain accurate and current contact information
Provide valid tax identification information as required
Notify us immediately of any changes to account details

4.2 Marketing Standards

Present PropTerminal services accurately and professionally
Avoid misleading claims about features, performance, or guaranteed trading results
Clearly disclose the nature of the affiliate relationship in all promotional materials
Comply with applicable advertising and disclosure regulations
When using promo codes, clearly state terms, limitations, and expiration dates
Ensure tracking methods (links, codes, etc.) are implemented correctly

4.3 Prohibited Activities

Affiliates must NOT:

Make false or misleading statements about PropTerminal
Guarantee trading profits or investment returns
Provide investment advice or trading recommendations
Use spam, unsolicited emails, or deceptive marketing practices
Engage in fraudulent sign-ups or artificial referral generation
Use trademarked terms in domain names or paid advertising without permission
Promote competing trading platforms or services

4.4 Content Standards

All promotional content must be professional and appropriate
Avoid discriminatory, offensive, or inappropriate material
Maintain high-quality standards in all marketing communications
Ensure compliance with financial services marketing regulations

5. Tracking and Attribution

5.1 Referral Tracking Methods

PropTerminal may provide one or more of the following tracking methods:

Affiliate Links: Unique URLs with embedded tracking parameters that set browser cookies
Browser Cookies: First-party cookies to track user journey and attribution
Promo Codes: Exclusive discount codes assigned to affiliates
QR Codes: Scannable codes for offline or mobile promotions
API Integration: For advanced affiliates with custom platforms
Other Methods: As developed and implemented by PropTerminal

5.2 Tracking Rules

Each affiliate will receive unique identifiers for their chosen tracking method(s)
Multiple tracking methods may be used simultaneously
Cookie Duration: Cookies are set for 30 days from initial interaction
Attribution Window: 30 days from initial interaction (link click, code entry, cookie placement, etc.)
Last-touch attribution model applies when multiple affiliates are involved
Only the first paid subscription per customer email is eligible for commission
Users who clear cookies or use different devices may not be properly attributed

5.3 Promo Code Specific Terms

When using promotional codes:

Discount rates and validity periods determined by PropTerminal
Codes may offer percentage discounts, fixed amounts, or extended trials
Commissions calculated on actual amount paid after discounts
Affiliate must not share codes on unauthorized coupon sites
PropTerminal reserves the right to deactivate codes at any time

5.4 Technical Limitations

Cookie tracking is subject to browser settings and user preferences
Affiliates acknowledge that some users may block or delete cookies
Cross-device tracking may not capture all referred users
PropTerminal is not responsible for attribution losses due to technical limitations
Alternative tracking methods (promo codes) recommended for cookie-sensitive audiences

5.5 Reporting

Real-time access to affiliate dashboard with performance metrics
Tracking data for all attribution methods (links, codes, cookies, etc.)
Monthly commission statements provided
Transparent reporting of referral conversions and earnings by method

6. Intellectual Property and Brand Usage

6.1 Limited License

We grant you a limited, non-exclusive, non-transferable license to use PropTerminal trademarks, logos, and marketing materials solely for affiliate program purposes.

6.2 Brand Guidelines

Use only approved marketing materials and brand assets
Maintain brand consistency and quality standards
Do not alter logos or create derivative brand materials
Discontinue all brand usage immediately upon program termination

6.3 Content License

You grant PropTerminal a non-exclusive license to use, display, and distribute any content you create promoting our services for marketing and promotional purposes.

7. Confidentiality

7.1 Confidential Information

You agree to maintain strict confidentiality regarding:

Commission rates and payment terms
Customer information and referral data
Internal business strategies and marketing plans
Technical specifications and platform details

7.2 Exceptions

Confidentiality obligations do not apply to information that:

Is publicly available through no breach of this agreement
Is required to be disclosed by law or court order
Is necessary for tax reporting or legal compliance

8. Compliance and Legal Requirements

8.1 Regulatory Compliance

Comply with all applicable laws and regulations in your jurisdiction
Obtain necessary licenses for financial services marketing where required
Follow anti-spam laws and data protection regulations
Comply with cookie laws and privacy regulations (GDPR, ePrivacy Directive, etc.)
Provide appropriate cookie consent notices when required
Maintain appropriate disclosures and disclaimers

8.2 Tax Responsibilities

You are responsible for all tax obligations related to commission payments
Provide accurate tax documentation as required
Understand that commission payments may be subject to tax withholding

9. Quality Assurance and Monitoring

9.1 Performance Standards

We reserve the right to monitor affiliate activities to ensure:

Compliance with program terms and marketing standards
Quality of referred customers and conversion rates
Adherence to brand guidelines and content standards

9.2 Account Review

Regular review of affiliate accounts for compliance
Right to request documentation of marketing activities
Authority to suspend or terminate accounts for violations

10. Termination

10.1 Termination by PropTerminal

We may terminate your participation immediately if you:

Violate any terms of this agreement
Engage in fraudulent or deceptive practices
Fail to maintain required performance standards
Breach confidentiality obligations

10.2 Termination by Affiliate

You may terminate participation with 15 days' written notice to PropTerminal.

10.3 Effect of Termination

Upon termination:

All rights to use PropTerminal intellectual property cease immediately
Outstanding commissions for confirmed conversions will be paid according to normal schedule
Access to affiliate dashboard and tracking systems will be revoked
Confidentiality obligations continue indefinitely

11. Limitation of Liability

11.1 Liability Limitations

TO THE MAXIMUM EXTENT PERMITTED BY SWISS LAW:

PropTerminal's total liability is limited to the total commissions paid to you in the preceding 12 months
We are not liable for indirect, incidental, or consequential damages
We are not responsible for lost profits or business opportunities
Affiliate participation is at your own risk

11.2 Indemnification

You agree to indemnify PropTerminal against any claims, damages, or expenses arising from:

Your marketing activities or promotional content
Violation of these terms or applicable laws
Infringement of third-party rights
Fraudulent or deceptive practices

12. Modifications

We reserve the right to modify these terms with 30 days' advance notice. Material changes affecting commission rates or payment terms will require your explicit acceptance to continue participation.

13. General Provisions

13.1 Independent Contractor

This agreement creates an independent contractor relationship. You are not an employee, agent, or representative of PropTerminal.

13.2 Governing Law

This agreement is governed by Swiss law. Any disputes shall be subject to the exclusive jurisdiction of Swiss courts.

13.3 Entire Agreement

These terms, together with our general Terms of Service and Privacy Policy, constitute the complete agreement regarding affiliate program participation.

13.4 Severability

If any provision is deemed invalid, the remaining provisions shall remain in full force and effect.

14. Application and Approval

14.1 Application Process

Submit affiliate application through our designated portal
Provide required business and contact information
Await approval notification (typically within 5-7 business days)

14.2 Approval Criteria

We evaluate applications based on:

Relevant audience and marketing channels
Professional presentation and content quality
Compliance with regulatory requirements
Alignment with PropTerminal's brand values

14.3 Rejection Rights

We reserve the right to reject applications without providing specific reasons, particularly for:

Competing or inappropriate business models
Poor content quality or unprofessional presentation
Regulatory or compliance concerns
